Investing Policy

The investing strategy of the Pinheiro Cobaltum is to obtain a varied collection of direct and indirect interests in rare earth minerals and other metal projects and assets that are in the exploration or production stages. The company is open to investment opportunities worldwide due to the unique nature of the assets and projects being explored.

The Directors possess extensive experience in deal structuring, fundraising, and investments, which they will utilize to identify and evaluate potential investment opportunities and negotiate acquisitions. The company is always able to enlist qualified technical personnel to conduct specialized due diligence before making any acquisitions or investments as needed. The Directors may implement earn-out structures with specific performance targets for the businesses acquired and appropriate metrics employed.

Pinheiro Cobaltum has the option to invest through either complete acquisition or by acquiring the assets, including intellectual property, of a relevant business, partnership, or joint venture arrangement. These investments may result in the company acquiring all or a part of a company or project, which may be private or listed on a stock exchange and may not have generated revenue yet. The investments may also constitute a minority stake in the company or project. The company can make these investments in different forms such as equity, joint venture, debt, convertible documents, license rights, or other financial instruments that the Directors consider appropriate.

By accepting considerations other than cash, the company can avoid depleting its cash reserves. In certain circumstances, it may be necessary for the company to issue debt securities or borrow money to finance investments. The Directors do not intend to acquire cross-holdings in other corporate entities with an interest in Pinheiro Cobaltum’s ordinary shares. Every quarter, the committee is presented with information on the company's environmental progress and initiatives, as well as costs associated with reclamation and closure, safety and health initiatives, government permits and approvals for mines and projects, security concerns, human rights issues, and programs related to corporate social responsibility. The company is led by executives who oversee operations at the enterprise level, as well as General Managers and Executive Directors who are responsible for performance at Pinheiro Cobaltum sites.
